These Terms of Service ("Terms") constitute a legally binding agreement between you ("you," "your," or "user") and Digitalutions LLC ("Digitalutions," "we," "us," or "our"), a North Carolina limited liability company. These Terms govern your access to and use of our websites, including digitalutions.co and any services, content, or communications provided by Digitalutions and its brands and subsidiaries.
By accessing our websites or using our services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must discontinue use immediately.
Services Overview
Digitalutions LLC is a digital marketing and technology company offering marketing strategy, solutions, and consulting, website design and development, digital marketing services, CRM implementation and management, AI agent development and deployment, marketing automation, and software-as-a-service solutions through its subsidiary brands.
Specific service terms, deliverables, timelines, and pricing are defined in individual service agreements, proposals, or subscription plans entered into between you and Digitalutions. In the event of a conflict between these Terms and a specific service agreement, the service agreement controls.
Eligibility
You must be at least 18 years of age and have the legal capacity to enter into a binding agreement to use our websites and services. By using our services, you represent that you meet these requirements.
Text Messaging and SMS Consent
By providing your phone number, you consent to receive text messages from Digitalutions LLC and its subsidiaries. Messages may relate to your inquiry, account, service updates, or promotional offers. Message frequency varies. Message and data rates may apply.
You may opt out at any time by replying STOP. For assistance, reply HELP or contact us using the information at the bottom of this page. Consent to receive text messages is not a condition of purchasing any goods or services.
Accounts and Access
Certain services may require you to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized access or use. We reserve the right to suspend or terminate accounts at our discretion if we believe these Terms have been violated.
Intellectual Property
All content on our websites, including text, graphics, logos, icons, images, software, and design elements, is the property of Digitalutions LLC or its licensors and is protected by applicable intellectual property laws. You may not reproduce, distribute, modify, create derivative works from, publicly display, or otherwise exploit any content from our websites without prior written consent.
For client work, intellectual property ownership and usage rights are defined in the applicable service agreement. Unless otherwise specified in writing, Digitalutions retains ownership of all proprietary tools, templates, frameworks, code libraries, AI models, and methodologies used in the delivery of services. Upon full payment, clients receive a license to use the deliverables as specified in their agreement.
Payment Terms
For project-based services, payment terms are defined in the applicable service agreement or proposal. Unless otherwise stated, invoices are due upon receipt. For subscription services, billing occurs automatically at the interval selected during checkout (monthly or annually). You authorize Digitalutions to charge the payment method on file for all recurring fees.
Late payments may be subject to service suspension, late fees, or both. If payment is not received within 15 days of the due date, we reserve the right to pause or terminate services without further notice.
Cancellation and Refund Policy
You may cancel services at any time by providing written notice to Digitalutions LLC via email at [email protected]. A minimum of 30 days' written notice is required for all cancellations.
For subscription-based or recurring services, cancellation takes effect at the end of the current billing cycle or contract term, whichever applies. You remain responsible for all charges incurred through the end of that period. If you are on an annual plan or contract, cancellation takes effect at the end of the annual term, provided 30-day written notice has been given prior to the renewal date.
Due to the digital and service-based nature of all work performed by Digitalutions LLC, all sales are final. We do not issue refunds, whether full or partial, for services rendered, in progress, or remaining in a billing cycle or contract term. This applies to project-based work, retainer agreements, managed services, and any recurring subscription or service plan.

Client Responsibilities
When engaging Digitalutions for services, you agree to provide accurate, complete, and timely information, materials, and access required for service delivery. You are responsible for reviewing and approving deliverables within the timeframes specified in your service agreement. Delays caused by your failure to provide information, feedback, or approvals may result in adjusted timelines or additional charges.
Acceptable Use
You agree not to use our websites or services to violate any applicable law, regulation, or third-party rights, to transmit malicious code, spam, or unsolicited communications, to attempt to gain unauthorized access to our systems or the accounts of others, to interfere with or disrupt the operation of our websites or services, to misrepresent your identity or affiliation, or to resell, sublicense, or redistribute access to our services or platform without written authorization.
We reserve the right to investigate and take appropriate action against any violations, including termination of access and pursuit of legal remedies.
Third-Party Services and Additional Terms
Our services may integrate with or rely on third-party platforms, tools, and services, including but not limited to payment processors, CRM systems, hosting providers, analytics tools, and communication platforms. We are not responsible for the availability, accuracy, or practices of any third-party services. Your use of third-party services is governed by their respective terms and policies.
Disclaimers
Our websites and services are provided on an "as is" and "as available" basis without warranties of any kind, whether express, implied, or statutory. To the fullest extent permitted by law, Digitalutions disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that our websites or services will be uninterrupted, error-free, secure, or free of harmful components. We do not guarantee specific results from the use of our services, including but not limited to increases in revenue, leads, traffic, or search rankings.
Limitation of Liability
To the maximum extent permitted by applicable law, Digitalutions LLC, its members, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your use of our websites or services, regardless of the theory of liability.
Our total aggregate liability for any claims arising under these Terms shall not exceed the total amount you paid to Digitalutions in the twelve months preceding the event giving rise to the claim.
Indemnification
You agree to indemnify, defend, and hold harmless Digitalutions LLC, its members, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or related to your use of our websites or services, your violation of these Terms, your violation of any third-party rights, or any content or materials you provide to us.
Termination
We reserve the right to suspend or terminate your access to our websites or services at any time, with or without cause, and with or without notice. Upon termination, your right to use our services ceases immediately. Provisions of these Terms that by their nature should survive termination will remain in effect, including intellectual property, disclaimers, limitation of liability, and indemnification.
Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the State of North Carolina, without regard to conflict of law principles. Any dispute arising under these Terms shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration administered in Wake County, North Carolina, in accordance with the rules of the American Arbitration Association. Each party shall bear its own costs unless the arbitrator determines otherwise.
Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.
Modifications
We may update these Terms at any time by posting the revised version on our website with an updated "Last Updated" date. Your continued use of our websites or services after changes are posted constitutes your acceptance of the modified Terms.
Entire Agreement
These Terms, together with any applicable service agreements, proposals, or subscription terms, constitute the entire agreement between you and Digitalutions LLC regarding the subject matter herein and supersede all prior or contemporaneous communications, whether oral or written.
